2 General Provisions
2.1. These Terms and Conditions (the "Terms") govern your use of the Site and the placement, payment, and fulfillment of orders for products offered on the Site.
2.2. These Terms constitute a public offer by the Company. Placing an order and making payment constitute your full and unconditional acceptance of these Terms.
2.3. The contract for an order is formed between the Buyer and the Company. No other party is a party to that contract.
2.4. If you do not agree with these Terms in whole or in part, you may not place an order or use the Site.
2.5. These Terms apply together with the Privacy Policy and the Cookie Policy published on the Site, which form an integral part of these Terms.
3 Definitions
Site means the website on which the Products are offered and through which Orders are placed.
Product means any item available to order on the Site, including items sold on a pre-order basis.
Buyer means an individual who places an Order on the Site.
Order means a request submitted through the Site for the purchase of one or more Products.
Pre-Order means an Order for a Product that has not been released as of the date the Order is placed and that will be shipped at a later date, as stated on the Site and in these Terms.
Artist means the performer whose creative project is presented on the Site.
Project Support means a voluntary payment made by a user of the Site that is not connected with the purchase of any Product.
4 Status of the Company and the Artist
4.1. The Company acts in its own name and on its own behalf under a separate agreement with the Artist.
4.2. The Company independently operates the Site, processes Orders, accepts payments, engages with suppliers and carriers, arranges shipment of Products, and handles Buyer inquiries and claims.
4.3. The Artist is not a party to the contract between the Buyer and the Company. The Artist does not accept Orders or payments, does not ship Products, and owes the Buyer no obligations arising from these Terms.
4.4. All inquiries, requests, and claims relating to an Order, payment, shipping, product quality, or use of the Site must be directed solely to the Company at support@morgenshtern.show.
4.5. The Company uses the intellectual property presented on the Site on a lawful basis under its agreement with the rights holder.
5 Products
5.1. Descriptions, images, and specifications for Products appear on the relevant Product pages. Images are illustrative; minor variations in color, finish, and print may occur and do not affect the Product's essential characteristics.
5.2. Certain Products may be sold with their contents undisclosed until delivery (a "Surprise Product"). By purchasing a Surprise Product, you acknowledge and accept that its composition and characteristics will not be disclosed before you receive it.
5.3. The contents of a Surprise Product are identical for every Buyer of the same item. There is no element of chance in how a Surprise Product is assembled.
5.4. The sale of a Surprise Product is not a lottery, sweepstakes, prize draw, promotional game, game of chance, or any other activity based on risk. You purchase a specific Product at the fixed price stated on the Site.
5.5. Dissatisfaction with the disclosed contents of a Surprise Product is not in itself a defect, a fulfillment error, or grounds for a claim.
5.6. Opening the packaging of a Surprise Product may diminish its value. This is taken into account on return to the extent permitted by applicable law.
5.7. Certain Products may include the Artist's personal autograph. The autograph is applied by the Artist personally. Its placement, form, and appearance are determined by the Artist and the Company and are not subject to agreement with the Buyer.
5.8. Products bearing the Artist's personal autograph are made to individual specification and have no mass-produced equivalent.
5.9. Quantities are limited. The Company may stop accepting Orders for any item at any time without prior notice.
6 Pre-Orders
6.1. Some Products are sold exclusively on a pre-order basis. This is stated on the relevant Product page.
6.2. Pre-Orders are payable in full (100%) at the time the Order is placed.
6.3. Products purchased on a pre-order basis will ship in 2027. By placing a Pre-Order, you expressly agree to that shipping timeframe and confirm that it is an agreed term of the contract.
6.4. The Company may change the shipping timeframe by notifying you at the email address provided when the Order was placed.
6.5. If the Company decides to cancel the release of a Product entirely, all amounts you have paid will be refunded in full within a reasonable time after that decision. Refunds are issued to the original payment method unless otherwise agreed.
6.6. You may request cancellation of a Pre-Order at any time before the Product is handed over to the carrier, as set out in Section 10.1.
6.7. A Pre-Order is not: a lottery, prize draw, or game of chance; an investment, deposit, loan, or other form of financing; the acquisition of an equity stake, participation right, revenue share, or any other property right in any project, work, or person; or a crowdfunding or fundraising campaign. A Pre-Order is the purchase of a specific Product with deferred shipment.
6.8. The Company may list Buyers who placed a Pre-Order in the project's accompanying materials. Any such listing is a voluntary gesture by the Company, does not form part of the contract, is not consideration, and is not guaranteed.
7 Placing an Order
7.1. To place an Order, select a Product, provide the requested recipient details, and complete payment.
7.2. You must provide accurate and complete information, including a valid shipping address and contact details. The Company is not responsible for the consequences of inaccurate, incomplete, or outdated information provided by the Buyer.
7.3. The contract is formed when payment is successfully received and the Company sends you an Order confirmation.
7.4. The Company may decline to accept or fulfill an Order and refund amounts paid, including in the circumstances described in Section 12, where indicators of fraudulent activity are present, or where fulfillment is technically impossible.
7.5. Orders may be placed by individuals aged 16 and over. Buyers under 18 must have the consent of a parent or legal guardian.
8 Prices, Currencies, and Taxes
8.1. Product prices are shown on the relevant Product pages.
8.2. Payments are processed in the currencies available for selection on the Site. If you pay in a currency other than that of your account, conversion is performed by your bank or payment provider at its own rate; the Company does not reimburse related fees or exchange-rate differences.
8.3. Prices shown on the Site include applicable taxes.
8.4. Import duties, taxes, levies, and other charges arising on importation into the recipient's country are payable by the recipient. The Company does not reimburse such charges, and they are not included in the price of the Product.
8.5. Shipping costs are borne by the Company and are not added to the price of the Product.
8.6. The Company may change prices on the Site at any time. Price changes do not apply to Orders already placed and paid for.
9 Payment and Shipping
9.1. Payment is made using the methods available for selection on the Site at the time the Order is placed. The available payment methods may change.
9.2. Payments are received and processed by third-party payment services, including Tribute. Such a service acts as a technical and payment intermediary: it receives funds from the Buyer and handles onward settlement in accordance with its own rules. The Company does not store your full payment credentials.
9.3. The involvement of a payment service does not change who the parties to the contract are. The Company remains the party responsible to the Buyer for the Order.
9.4. Your relationship with the payment service is governed by that service's own terms and policies. Processing times, fees, limits, and refund handling are determined by the rules of that service and the banks involved.
9.5. An Order is treated as paid when funds are actually received.
9.6. We ship worldwide. Shipping is free of charge to the Buyer. No surcharge applies to any country or region.
9.7. Shipping availability depends on the Product, the destination country, and carrier restrictions. The ability to place an Order does not in every case mean that a particular Product may lawfully be imported into the destination country.
9.8. If delivery to the address you provided is not possible, we will contact you and offer one of the available options: change the shipping address, wait for a shipping method to become available, or cancel the Order for a refund.
9.9. Delivery times after shipment, and the rules for handover, storage, and return of unclaimed parcels, are determined by the relevant carrier. Delivery times shown on the Site are estimates and depend on the destination, carrier performance, and customs clearance.
9.10. Where the carrier provides a tracking number, it will be sent to the email address provided when the Order was placed. Tracking information may not appear in the carrier's system immediately after a number is issued.
9.11. Risk of loss or damage passes to the Buyer when the parcel is handed over to the Buyer or to the recipient named by the Buyer.
9.12. You are responsible for the accuracy and completeness of the information you provide, including the shipping address, postal code, recipient name, and a working means of contact. Report any error in your Order details before shipment to support@morgenshtern.show. We cannot guarantee that an address can be changed once the Order has been handed over to the carrier.
9.13. If a parcel is returned to the Company because the address was incorrect or incomplete, because it was not collected within the carrier's deadline, or because the Buyer refused or was unable to complete required import or customs formalities, any reshipment is payable separately by the Buyer.
9.14. In the circumstances described in Section 9.13, any refund is calculated taking into account the condition of the returned Product and the costs that applicable law permits to be deducted. This Section does not apply where the parcel was returned through the fault of the Company or the carrier.
10 Order Cancellation, Returns, and Refunds
10.1. Cancellation before shipment. If your Order has not yet been handed over to the carrier, you may write to support@morgenshtern.show to request cancellation. We will take reasonable steps to stop processing. If shipment can no longer be stopped, Sections 10.2 through 10.6 apply.
10.2. Withdrawal from a purchase. Where the law applicable to you gives you the right to withdraw from a distance purchase, notify us within the period set by that law. Where no other period is prescribed, notify us within 14 calendar days of receiving the Product.
10.3. The Product must be returned without undue delay, in sound condition, complete, and where possible in its original packaging.
10.4. You are responsible for any diminished value of the Product resulting from handling beyond what is necessary to establish its nature, characteristics, and functioning.
10.5. The cost of returning a Product in sound condition is borne by the Buyer, unless applicable law provides otherwise.
10.6. A return may be declined if the Product was damaged after delivery through the Buyer's fault, was used in a manner not necessary for inspection, is returned incomplete, or falls within a category for which applicable law permits an exception to the right of withdrawal. We will tell you the basis for our decision. This Section does not apply to defects for which the Company is responsible.
10.7. Products are not exchanged for other items in the range.
10.8. Refunds are also issued in the circumstances expressly provided for in these Terms: cancellation of a Product release (Section 6.5), the Company declining to fulfill an Order (Sections 7.4 and 12.4), delivery being impossible (Section 9.8), and following the resolution of a claim (Section 11).
10.9. Approved refunds are issued to the original payment method through the payment service that processed the payment. Crediting times depend on the rules of that service and the receiving bank.
10.10. The cost of standard shipping is refunded only where applicable law requires it. Additional costs arising from your choice of a more expensive shipping method are not refunded.
10.11. The return address is provided by customer support once your request has been registered. Products sent back without prior arrangement will not be processed.
10.12. Nothing in this Section limits or excludes any rights granted to you by mandatory provisions of the law of your country of habitual residence, where those provisions apply and cannot be varied by agreement. To the extent of any conflict, those provisions prevail.
11 Quality and Delivery Claims
11.1. Please inspect your Order on receipt. If a Product has a manufacturing defect, was damaged in transit, or does not match what you ordered, contact us as soon as possible.
11.2. Claims concerning non-delivery, loss, damage in transit, incomplete Orders, or Product quality should be sent to support@morgenshtern.show.
11.3. Your claim should include the Order number, the email address used for payment, a description of the problem, and, in the case of damage, photographs of the Product and the packaging.
11.4. Contact us as well if tracking has not updated for an extended period, or if the carrier has marked a parcel as delivered but you have not received it. We will check the status with the carrier and propose a resolution based on the circumstances and the requirements of applicable law.
11.5. We will review your claim and respond within 7 calendar days of receiving it. Where further information is needed from a carrier or supplier, this period may be extended and we will let you know.
11.6. Following review, the Company will offer a replacement, repair, a proportionate price reduction, or a refund, depending on the circumstances and the requirements of applicable law.
11.7. Reasonable costs of returning a defective or incorrectly shipped Product are borne by the Company.
11.8. Claims relating to matters for which the Company is not responsible, including carrier conduct following proper handover, inaccurate information supplied by the Buyer, and non-receipt of a parcel for reasons attributable to the Buyer, will not be upheld.
12 Sanctions and Geographic Restrictions
12.1. The Company conducts its business in compliance with applicable export-control requirements and restrictive measures.
12.2. By placing an Order, you confirm that you are not named on any applicable sanctions list, are not acting on behalf of any person so named, and are not located in a territory subject to comprehensive restrictive measures.
12.3. The Company may screen Buyers, recipients, and the information they provide against applicable sanctions and other control lists, and may request additional information and documents.
12.4. The Company may decline to accept or fulfill an Order, suspend fulfillment, or refuse to ship to any jurisdiction where doing so would conflict with applicable restrictive measures or create a risk of breaching them. In that case, all amounts paid are refunded in full.
12.5. The Company may change the list of destinations available for shipping at any time.
13 Project Support
13.1. The Site may offer the option to make a voluntary payment in support of the project, unconnected with the purchase of any Product.
13.2. Such payments are organized and administered through the Site by the Company. They are not transfers of funds to the Artist and are not made to the Artist.
13.3. A Project Support payment may be made through a separate link using a third-party payment service, including Tribute. That service receives the funds and handles onward settlement under its own rules. Your relationship with the service is governed by its own terms and policies.
13.4. A Project Support payment is made on a purely voluntary basis and goes toward organizing, producing, and promoting the project presented on the Site.
13.5. A Project Support payment carries no consideration in return. You acquire no right to any product, service, access, discount, benefit, participation interest, revenue share, or other proprietary or non-proprietary right.
13.6. Project Support payments are final and non-refundable, except in the case of an erroneous or unauthorized payment, or where a refund is required by applicable law or by the rules of the payment service.
13.7. A Project Support payment is not a charitable donation, a membership fee, an investment, a loan, or any other form of financing that carries repayment or return.
13.8. Project Support payments may be made by individuals aged 16 and over, subject to Section 7.5.
14 Intellectual Property
14.1. Rights in the musical works, sound recordings, artwork, images, text, and other materials on the Site belong to the Artist or to other rights holders. The Company uses these materials on a lawful basis.
14.2. Purchasing a Product gives you the right to own and use that copy for personal, non-commercial purposes only. No exclusive rights are transferred to you.
14.3. You may not reproduce, copy, distribute, publicly perform, make available, adapt, or commercially exploit the materials on the Site or the contents of the Products without the rights holder's prior written consent.
14.4. Trademarks, logos, and marks displayed on the Site belong to their respective owners and may not be used without the rights holder's permission.
15 Use of the Site
15.1. You agree to use the Site in good faith and not to take any action that disrupts its operation, including attempts at unauthorized access, automated data collection, or circumvention of technical restrictions.
15.2. The Company may restrict access to the Site, refuse service, and cancel Orders where this Section is breached.
15.3. The Company does not warrant that the Site will operate without interruption or error and may suspend it for maintenance.
16 Liability
16.1. The Company is responsible for performing the obligations expressly set out in these Terms.
16.2. The Company is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, armed conflict, acts of government, restrictive measures, disruption affecting carriers, payment systems, or telecommunications networks, and suspension of production for reasons outside the Company's control.
16.3. The Company is not liable for indirect losses, lost profits, or losses arising from the acts of third parties, including banks, payment services, customs authorities, and carriers.
16.4. The Company's total liability in respect of any Order is limited to the amount actually paid by the Buyer for that Order.
16.5. The limitations in this Section apply to the fullest extent permitted by applicable law and do not apply where such limitation is not permitted by mandatory provisions of law.
17 Personal Data
17.1. Personal data is processed in accordance with the Privacy Policy published on the Site.
17.2. Cookies are used in accordance with the Cookie Policy published on the Site.
18 Changes to These Terms
18.1. The Company may amend these Terms. A new version takes effect when it is published on the Site, unless that version states otherwise.
18.2. The version of these Terms in force when an Order was placed governs that Order.
19 Governing Law and Dispute Resolution
19.1. These Terms and the relationship between the parties are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
19.2. The parties will seek to resolve disputes through the claims procedure set out in Section 11.
19.3. Any dispute not resolved through that procedure will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration is Hong Kong. The tribunal will consist of one arbitrator. The language of the arbitration is English.
19.4. This Section does not deprive a Buyer who is a consumer of the right to bring proceedings before the competent court of their place of habitual residence, where mandatory provisions of the law applicable to them grant that right.
20 Miscellaneous
20.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect.
20.2. A failure by the Company to exercise a right is not a waiver of that right.
20.3. You may not assign your rights or obligations under an Order to a third party without the Company's written consent.
20.4. These Terms were drawn up in Russian. Where translations into other languages are provided, the Russian version prevails in the event of any discrepancy.
